Newspaper rates are set by the papers each county clerk designates, so they vary by county — the estimates above reflect typical Western New York counties. Multi-member and more complex formations receive a firm flat-fee quote before engagement.

Payment plans are available for the attorney fee, starting as low as $50 per month. The state filing fees and newspaper publication charges cannot be financed — those are paid to the Department of State and to the newspapers rather than to me, and they have to be paid in full when the filing and the publication run. In practice that means the pass-through costs are due up front, and my fee is the part that can be spread over time.

Why Work With an Attorney Instead of a Filing Website

Online services file a form and stop there. But the form is the easy part. The value of an LLC comes from decisions — how ownership works, how the company is managed, what happens if an owner dies, becomes disabled, or wants out — and from an operating agreement that actually reflects those decisions.

Why does a New York LLC have to publish notices in newspapers?

New York law requires a new LLC to publish a notice of its formation once a week for six consecutive weeks in two newspapers — one daily and one weekly — designated by the county clerk where the LLC is located, and then file a Certificate of Publication with the state. I arrange the publications and file the certificate for you as part of the flat fee.

Do I really need an operating agreement for a single-member LLC?

Yes. New York law requires LLC members to adopt a written operating agreement, and banks and other institutions often ask to see one. Just as importantly, a properly drafted operating agreement documents that the LLC is a real, separate entity — which supports the liability protection you formed it for.

How much does it cost to form an LLC in New York?

For a single-member LLC my attorney fee is a flat $1,000. On top of that are pass-through costs paid to the state and the newspapers: a $200 Articles of Organization filing fee, a $50 Certificate of Publication filing fee, and newspaper publication charges that typically run about $500–$800 for the daily paper and $175–$200 for the weekly in Western New York counties. Most single-member formations total roughly $1,925–$2,250 all-in.

How long does it take to form an LLC in New York?

The Articles of Organization can usually be prepared and filed quickly once your decisions are made — your LLC exists as soon as the state accepts the filing, and you can generally begin operating while the six-week newspaper publication runs in the background. I complete the process by filing the Certificate of Publication.

Can't I just use an online filing service?

An online service files a form. It doesn't explain what the decisions mean for your situation, draft an operating agreement around the choices you actually made, or make sure New York's publication requirement is satisfied correctly. My process is built around teaching you the decisions first, then papering them properly.

What decisions will I need to make?

Things like who owns the LLC and in what shares, how it will be managed, what happens to an owner's interest on death or disability, and how money moves in and out. During our consultation I explain each decision in plain English, and afterward you record your choices in a short online questionnaire that I draft from.
